By accessing or using the services provided by GDS Creatives ("we," "our," or "us") through our website gdscreatives.in, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions.

These terms apply to all visitors, clients, and others who access or use our services. Your continued use of our services after any modifications constitutes your acceptance of the updated terms.

GDS Creatives is a creative design studio offering a comprehensive suite of services tailored to elevate your brand. Our core service offerings include:

• Brand Identity Design — logo creation, brand guidelines, and visual identity systems
• UI/UX Design — user interface design, prototyping, and user experience consulting
• Web Design & Development — responsive website design and front-end development
• Graphic Design — marketing materials, social media creatives, and print design
• Motion Graphics & Video — animated content, reels, and promotional videos
• Packaging Design — product packaging and label design solutions

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable prior notice. The scope of each project will be defined in a separate project agreement or proposal.

All creative works, deliverables, concepts, and materials produced by GDS Creatives remain the intellectual property of GDS Creatives until full and final payment has been received by the Client.

Upon receipt of complete payment, the Client receives ownership rights to the final approved deliverables as specified in the project agreement. The following rights are retained by GDS Creatives regardless of payment:

• The right to display the work in our portfolio, website, and promotional materials
• All preliminary concepts, drafts, and rejected design directions
• Proprietary design frameworks, tools, and methodologies used during the project
• Source files and working files unless explicitly agreed upon in writing

All fees for services rendered are outlined in project-specific proposals or quotes provided to the Client. The following payment terms apply unless otherwise specified in writing:

1. Advance Payment: A non-refundable advance payment of 50% of the total project fee is required before work commences
2. Milestone Payments: For larger projects, payment may be structured around agreed milestones as specified in the project agreement
3. Final Payment: The remaining balance is due upon project completion and before final file delivery
4. Revision Charges: Revisions beyond the agreed scope will be billed at our standard hourly rate
5. Late Payment: Invoices overdue by more than 14 days may incur a late fee of 2% per month on the outstanding balance

All prices are exclusive of applicable taxes. GDS Creatives reserves the right to pause or halt work on a project if payment obligations are not met as agreed.

To ensure the successful delivery of our services, the Client agrees to fulfill the following obligations throughout the duration of the project:

• Provide accurate, complete, and timely information, materials, and feedback required for the project
• Designate a primary point of contact who is authorized to make decisions regarding the project
• Respond to requests for feedback or approvals within the agreed response timeframe (typically 3–5 business days)
• Ensure all content, images, and materials provided are legally owned or properly licensed
• Not use our services for any unlawful, harmful, or unethical purposes
• Refrain from engaging other creative agencies or freelancers for the same scope of work during the project without prior written consent

Delays caused by the Client's failure to meet these obligations may result in revised project timelines and potential additional charges, which will be communicated in advance.

GDS Creatives values the trust our clients place in us and is committed to maintaining strict confidentiality. Both parties agree to the following confidentiality obligations:

• All business information, project details, strategies, and materials shared during the engagement shall be treated as confidential
• Neither party shall disclose confidential information to any third party without prior written consent, except as required by law
• GDS Creatives may share project information with trusted subcontractors or partners solely for the purpose of delivering the agreed services
• Confidentiality obligations survive termination of the agreement for a period of two (2) years

GDS Creatives provides its services on an "as-is" and "as-available" basis. To the fullest extent permitted by applicable law:

• GDS Creatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services
• Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by the Client in the three (3) months preceding the claim
• We do not guarantee specific business outcomes, sales increases, or competitive rankings as a result of our design work
• GDS Creatives is not responsible for delays or failures caused by circumstances beyond our reasonable control (force majeure events)

GDS Creatives will make every reasonable effort to deliver high-quality work on time, but cannot guarantee specific results from the creative output in terms of business performance.

Either party may terminate a project or service agreement under the following conditions:

• Client-Initiated Termination: The Client may terminate the agreement with 14 days' written notice. All work completed to date must be compensated at the agreed rate
• GDS Creatives-Initiated Termination: We reserve the right to terminate services if the Client breaches these terms, engages in unethical conduct, or fails to make agreed payments
• Advance Payment Retention: The initial advance payment is non-refundable in the event of client-initiated termination
• Work Delivery: Upon termination and full payment for completed work, GDS Creatives will deliver all completed deliverables

GDS Creatives is committed to protecting your privacy and handling your personal data with care. Our collection and use of personal data is governed by our Privacy Policy, which forms an integral part of these terms.

• We collect only the information necessary to provide our services and communicate with you effectively
• Personal data will never be sold, rented, or shared with third parties for marketing purposes
• We implement appropriate technical and organizational measures to protect your data from unauthorized access
• You have the right to request access to, correction of, or deletion of your personal data at any time

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

In the event of any dispute, controversy, or claim arising out of or relating to these terms or the services provided by GDS Creatives, the parties agree to:

1. Good Faith Resolution: First attempt to resolve the dispute through direct, good-faith negotiations within 30 days of the dispute arising
2. Mediation: If negotiation fails, submit to non-binding mediation with a mutually agreed mediator
3. Arbitration: If mediation fails, resolve the dispute through binding arbitration in accordance with Indian arbitration laws
4. Jurisdiction: Any legal proceedings shall be subject to the exclusive jurisdiction of the courts located in India

GDS Creatives reserves the right to modify, update, or revise these Terms and Conditions at any time to reflect changes in our services, business practices, or applicable laws.

• We will notify existing clients of material changes via email or a prominent notice on our website at least 14 days before the changes take effect
• The "Last Updated" date at the top of this page will always reflect the most recent revision
• Your continued use of our services after changes become effective constitutes your acceptance of the revised terms
• If you do not agree with the updated terms, you should discontinue use of our services and notify us in writing
